Effective Date: February 1, 2026

The following General Terms of Service (hereinafter, the "GTS") govern the access and use of the services provided by ValueBetFactory, a company registered with the Paris Trade and Companies Register, accessible at www.valuebetfactory.com (hereinafter, the "Site").

Acceptance of these GTS is confirmed by a positive action from the User, such as electronic validation during registration. By accepting, the User acknowledges having read and agreed to these GTS without reservation.

By using the Site or subscribing to our Services, the User confirms that they are at least 18 years old or of legal majority in their country. In accordance with applicable legal and regulatory provisions in France and the directives of the National Gaming Authority (ANJ), ValueBetFactory commits to comply with all rules governing gambling and sports betting.

1. DEFINITIONS

For the purposes of these GTS, the terms below shall have the following meanings:

• Site: The online platform operated by ValueBetFactory at www.valuebetfactory.com.

• User: Any legally capable adult individual accessing or using the Site/Services.

• Subscriber: A User who has subscribed to a Service plan.

• Services: Analytical tools and information provided by ValueBetFactory to identify positive expected value (EV+) betting opportunities, for informational purposes only.

• Applicable Legislation: Laws and regulations governing gambling and sports betting, including those by the ANJ.

• Account: A personalized digital space granting access to the Solution.

• Solution: The suite of services accessible via the Site, depending on User status.

• Personal Data Rules: (i) GDPR (EU) 2016/679 and (ii) national data protection laws.

• Third-Party Services: Services referenced on the Site but operated by entities independent of ValueBetFactory.

2. PURPOSE

ValueBetFactory develops and operates a software solution providing users with analytical tools to identify positive expected value (+EV) betting opportunities (informational use only).

These GTS define the conditions for accessing and using the Site/Services, as well as the rights and obligations of both parties.

3. ACCEPTANCE AND MODIFICATIONS

ValueBetFactory reserves the right to unilaterally modify these GTS at any time in order to adapt them to legal, regulatory, or technical developments, as well as changes to Features and subscription pricing, without compromising the quality of the Services.

Any substantial modification of the GTS will be notified to the User by any appropriate means within a period of 15 days.

In the absence of an objection, the User will be deemed to have accepted the modifications upon using the Services after they take effect.

In case of objection or formal refusal by the User, the GTS will be immediately terminated, and the User must cease using the Site.

4. ACCESS CONDITIONS

The Services are reserved for users aged 18+.

Users are solely responsible for verifying the legality of sports betting in their jurisdiction.

ValueBetFactory is not a gambling operator and does not manage bets, payments, or winnings.

5. ACCOUNT CREATION AND MANAGEMENT

The use of Services requires the creation of an Account initiated by the User.

Each User agrees to provide all required information and guarantees that the details provided are accurate and free from any ambiguity. The User commits to immediately updating the information on their Account in case of any changes.

When creating the Account, ValueBetFactory uses the User’s first name, last name, and email address. The User will have the option to set their password to access their Account.

6. SUBSCRIPTIONS AND PAYMENT

6.1 Subscriptions

The Services are accessible only through a subscription plan, the financial terms of which are specified on the Site.

Payment will be processed via the Stripe provider, and the user expressly acknowledges that subscriptions are billed on a monthly or yearly basis and are subject to automatic renewal unless canceled before the current term expires.

6.2 Refund Policy

All subscriptions are final and non-refundable.

In the event of a service interruption lasting more than 24 consecutive hours, ValueBetFactory may offer an equivalent extension of the subscription duration, but the User shall not be entitled to any other form of compensation.

6.3 Trial Period

ValueBetFactory may offer a 7-day free trial period for all available plans. At the end of this trial period, and without any cancellation action from the User, payment will be automatically charged according to the subscription plan chosen by the User during registration, in accordance with the pricing indicated during the onboarding process. The User may cancel their subscription at any time during the trial period via their Account, without incurring any charges.

7. TERMINATION AND ACCESS TO THE SERVICE

7.1 Usage Restrictions

Any use of the Services for resale, commercial exploitation, or consultancy to third parties is strictly prohibited.

The User agrees not to use the information provided to engage in techniques aimed at bypassing restrictions imposed by bookmakers, including but not limited to "surebet," which is prohibited by many operators.

Any violation of these obligations will result in the immediate suspension of the User’s subscription without refund.

7.2 Termination

The User may terminate their subscription at any time via their Account. In the event of termination, the User will continue to have access to their Account until the monthly anniversary date of their last payment.

For example, if the User made their last payment on January 15 and terminates the service on February 1, they will retain access to their Account until February 15.

7.3 Payment Delays

In case of non-payment of the subscription on the due date, access to the Services and the Account will be suspended until the situation is regularized.

7.4 Subscription Fee Changes

ValueBetFactory reserves the right to modify the subscription fee. In case of a substantial increase, the User may terminate their subscription free of charge before the new pricing takes effect.

7.5 Access, Usage, and Security

Access to and use of the Services are strictly reserved for Account holders. The User is responsible for the security of their login credentials and the confidentiality of their personal information.

Except in cases of technical failure attributable to ValueBetFactory or force majeure, each User is responsible for the confidentiality and security of their login credentials and the data recorded in the Solution.

It is strongly recommended that the User regularly change their password and use a secure password, avoiding easily identifiable combinations. ValueBetFactory enforces a password expiration policy, after which Users will be required to update their password.

If the User has reason to believe that their login credentials have been lost, stolen, misused, or otherwise compromised, or in case of unauthorized use of the Solution, they must immediately notify ValueBetFactory by email at [email protected].

In the absence of such notification, any use of the Solution will be deemed to have been made by the User.

The User understands and agrees that the information entered for the creation or update of their Account serves as proof of their identity.

In case of doubt or inquiry, ValueBetFactory may request additional information and documents. In such situations and/or in the presence of a potential or actual security or confidentiality threat to the Solution’s data, the User authorizes ValueBetFactory to take all appropriate measures to prevent unauthorized access (e.g., reset the password and username or suspend access to the Solution).

In case of password loss or forgetting, the User may submit a request on the Account login page by clicking "Reset." They will then receive a link to reset their password at the email address provided during registration.

8. ValueBetFactory’s Commitments

8.1 Account Hosting

ValueBetFactory undertakes to ensure, under a best-efforts obligation, the hosting of User Accounts and all User content on its own servers or those of a professional hosting provider.

In this regard, ValueBetFactory commits to providing the User with sufficient storage and processing capacities for the use of the Solution.

ValueBetFactory pledges to implement all necessary technical measures to ensure the security and accessibility of the Solution, including the protection and monitoring of infrastructures, control of physical and/or virtual access to said infrastructures, as well as the implementation of detection, prevention, and recovery measures to protect servers from malicious acts.

ValueBetFactory also undertakes to take all necessary precautions, considering the nature of the data and the risks associated with automated data processing required for the Solution, to maintain data security and, in particular, to prevent them from being altered, damaged, or accessed by unauthorized third parties.

8.2 Continuity and Quality of Access to the Solution

ValueBetFactory commits to ensuring the permanence, continuity, and quality of access to the Solution. In this respect, ValueBetFactory will make its best efforts to maintain access to the Solution 24/7 and guarantees its availability at 98%, except in cases of force majeure.

The User understands and accepts that slowdowns, disruptions, or interruptions in access to the Solution (and consequently, to its Features) may result from the unequal capacity of different sub-networks, peak usage times, various bottlenecks, and, more generally, the technical uncertainties of the internet or telecommunications networks over which ValueBetFactory has no control.

As a result, ValueBetFactory cannot guarantee stable and permanent availability of the Solution, and its responsibility will be limited to the operation of its servers, with the external limits being the connection points.

Additionally, the User is solely responsible for ensuring the effectiveness of their internet connection and the browsers or operating systems they use.

8.3 Maintenance

ValueBetFactory undertakes to ensure the maintenance of the Solution and to make its best efforts, under a best-efforts obligation, to resolve any issues affecting it. Access to the Solution may be temporarily interrupted when necessary for the operation of the Solution and for maintenance activities.

The User understands and accepts that access to the Solution (and consequently, to its Features) may also be temporarily interrupted due to maintenance and updates. If necessary, ValueBetFactory reserves the right to limit or suspend access to the Solution to carry out maintenance and/or improvement operations. In such cases, ValueBetFactory commits to informing the User in advance within a reasonable timeframe, using any useful means, including a general information message on the Solution regarding such maintenance operations.

As part of these maintenance and/or upgrade operations, ValueBetFactory commits to making its best efforts to back up the content stored in the User’s Account and/or the Solution.

If ValueBetFactory identifies a security breach that could severely compromise the security of the Solution, it may proceed with an immediate, unannounced temporary shutdown of the Solution to address the issue as quickly as possible. In such cases, the User cannot claim any compensation or hold ValueBetFactory liable for the interruption of the Solution.

9. USER COMMITMENTS

The User expressly agrees to:

● Comply with the laws and regulations in force in the country where they are established and not violate public order, morality, or the rights of third parties, nor breach any legislative or regulatory provision, including their tax and social declaration and payment obligations;

● Adhere to the Terms and Conditions (T&Cs);

● Use the Solution in accordance with its intended purpose and objectives, and act in good faith towards ValueBetFactory and its subsidiaries;

● Use the Account for their personal use only and not share their login credentials with other individuals or legal entities, whether affiliated with the User or not;

● Refrain from creating fake accounts or using the Solution under a false identity or with inaccurate identification information;

● Implement all necessary measures to ensure the security and confidentiality of login data;

● Inform ValueBetFactory in case of any complications of any nature;

● Use the Solution fairly and refrain from any attempts at fraud or overloading ValueBetFactory’s computer systems by any means.

The User understands and agrees that the following are strictly prohibited:

(i) Any behavior that may interrupt, suspend, slow down, or hinder the continuity of the Solution (and consequently, its Features);

(ii) The inclusion of illegal content (e.g., pornographic content or content infringing intellectual property rights);

(iii) Any intrusion or attempted intrusion into ValueBetFactory’s computer systems;

(iv) Any action that places a disproportionate load on ValueBetFactory’s digital infrastructure;

(v) Any violation of security and authentication measures;

(vi) Any act that harms the financial, commercial, or moral rights and interests of ValueBetFactory;

(vii) Any copying and/or misappropriation of the Solution and/or ValueBetFactory’s digital infrastructure; and

(viii) More generally, any practice that diverts the Solution from its intended purpose.

The User is not authorized to extract, reuse, integrate into another website, link, and/or connect in any way all or part of the content of the Solution.

The use of programs and techniques such as data mining, robots, scraping, and/or similar data collection and extraction methods is prohibited.

10. USER LIABILITY

The User is solely responsible for their use of the Solution, its Features, and Third-Party Services. As such, they are liable for any damage they may cause due to their behavior and any inaccurate, incomplete, and/or misleading information they provide during registration or fail to update, for which they bear full responsibility.

The User guarantees ValueBetFactory against all complaints, claims, actions, and/or demands it may suffer due to the User's violation of any of their obligations or warranties under the Terms and Conditions (T&Cs).

The User agrees to indemnify ValueBetFactory for any damage it may suffer and to cover all costs, expenses, and/or penalties it may incur as a result.

The User waives the right to seek compensation from ValueBetFactory for any indirect damages, regardless of the reason. Indirect damages include, but are not limited to, loss of earnings or profits, commercial damages, and the consequences of complaints, actions, or claims by third parties against the User, even if the User has been informed of their potential occurrence.

11. VALUEBETFACTORY’S LIABILITY

11.1 Regarding the Solution and Third-Party Services

The role of ValueBetFactory is strictly limited to providing access to the Solution.

ValueBetFactory cannot be held responsible for decisions made by the User or any third party designated by them regarding the use of the Solution, its Features, and Third-Party Services. Likewise, ValueBetFactory shall not, under any circumstances, be held liable for any content published by the User on the Solution, as it does not exercise any form of control, verification, or moderation over such content.

The Features are provided by ValueBetFactory on an "as-is" basis, without any express or implied warranty. In particular, ValueBetFactory does not guarantee that (i) the Features will be entirely free of errors, defects, or flaws, and (ii) that the Features will meet the User’s specific needs and expectations.

Creating an Account does not grant the User any specific legal status.

In any case, ValueBetFactory’s liability may only be incurred under general legal conditions and solely for direct and foreseeable damages suffered by the User, resulting from a breach of its contractual obligations as defined in the Terms and Conditions (T&Cs).

The User acknowledges that Third-Party Services are operated by independent companies with no affiliation to ValueBetFactory. ValueBetFactory only references these services and does not conduct any verification or control regarding their reliability or effectiveness.

Any dispute related to a Third-Party Service must be resolved directly with the respective company, and ValueBetFactory assumes no role or responsibility in such matters.

11.2 No Guarantee of Results

ValueBetFactory provides analyses based on mathematical and statistical data.

However, no winnings can be guaranteed, and the User assumes full responsibility for their betting decisions.

11.3 Obvious Errors

ValueBetFactory cannot be held liable for the consequences of bet cancellations due to any obvious display errors in the odds.

12. RESPONSIBLE GAMING

ValueBetFactory promotes responsible gambling and provides resources like Joueurs Info Service (www.joueurs-info-service.fr) or BeGambeAware (begambleaware.org)

Access may be restricted for Users displaying risky behavior.

13. INTELLECTUAL PROPERTY

ValueBetFactory holds the exclusive intellectual property rights to the Solution and its Features, as well as all its components, including but not limited to the domain name https://valuebetfactory.com, the source code and object code, software, structures, infrastructures, databases, and all types of content (texts, images, visuals, logos, trademarks, etc.).

Any use, including any form of copying, adaptation, distribution, scraping, reproduction, disassembly, decompilation, decryption, extraction, or dissemination of any elements of the Solution (including the source code, object code, and databases), in whole or in part, is strictly prohibited without prior written consent from ValueBetFactory.

All rights not expressly granted by the Terms and Conditions (T&Cs) remain the exclusive property of ValueBetFactory, are not part of any licensed rights, and are under its sole enjoyment.

14. CONFIDENTIALITY

Each Party agrees not to disclose to third parties and to keep strictly confidential any information, documents, elements, and data exchanged under the Terms and Conditions (T&Cs) that are expressly identified by the other Party as confidential. The Party receiving Confidential Information agrees not to disclose it without prior consent from the other Party for the entire duration of the T&Cs and for a period of five (5) years after their termination.

Confidential Information shall remain confidential between the Parties, except when disclosure is required (i) to assert their rights in court, including-but not limited to-cases of non-compliance with these terms by one of the Parties, (ii) by a court ruling, or (iii) to respond to a request from a tax or customs authority, social security collection agencies, a statutory auditor, an accountant, or an auditor.

This obligation does not extend to documents, elements, data, and information that (i) the receiving Party already knew, (ii) were already public at the time of disclosure or became public without breaching the T&Cs, or (iii) were lawfully received from a third party.

If one of the Parties is required to disclose or reveal Confidential Information to a third party, they must inform the other Party as soon as possible by any means (except in the case of a request from a tax authority, a statutory auditor, an accountant, or an auditor).

15. DATA PRIVACY

ValueBetFactory places great importance on compliance with Personal Data Rules.

Regarding the User’s personal data, ValueBetFactory acts as the data controller within the meaning of the Personal Data Rules.

16. MISCELLANEOUS

16.1. Nullity

If any clause of the Terms and Conditions (T&Cs) is declared null or void due to a change in legislation, regulation, or by a court decision, this shall in no way affect the validity of the other clauses or compliance with the T&Cs, unless the nullified or void clause is essential, modifies the interdependence of certain provisions, or alters the overall economic balance of the T&Cs.

16.2. Transfer of the GTS

The User may not assign or transfer their rights and obligations under the T&Cs to a third party without prior consent from ValueBetFactory.

In the event of (i) a merger by forming a new company, contribution, partial asset contribution, merger-absorption, demerger, or any other operation leading to a universal transfer of ValueBetFactory’s assets, or (ii) any transaction resulting in a direct or indirect change of control affecting ValueBetFactory, the contractual relationships will continue without requiring notification or consent from the User.

16.3. No Waiver

If a Party does not enforce a provision of the T&Cs, whether permanently or temporarily, this shall not be considered a waiver of the rights deriving from that provision.

16.4 Authorization for Testimonial Use

For the duration of the T&Cs, the User authorizes ValueBetFactory to use testimonials they publish within the Solution for promotional purposes under the following terms:

● The User consents to their testimonial being freely distributed by ValueBetFactory within the Solution and on any other French or international websites operated by companies that have agreements with ValueBetFactory;

● The User agrees that their testimonial may be disseminated by ValueBetFactory through any medium and format for promoting the Solution or its Features;

● The User accepts that their testimonial may be translated into any language, provided its meaning remains unchanged;

● The User acknowledges and agrees that their testimonial may be modified, including framing, formatting, colors, or alterations due to technical constraints of the Solution or Features;

● The User waives any right to claim compensation, royalties, indemnities, or financial compensation from ValueBetFactory for such use.

16.5 Links and Third-Party Sites

ValueBetFactory shall not be held responsible for the technical availability of third-party websites (including Third-Party Services) accessed through the Solution.

ValueBetFactory assumes no responsibility for the content, advertisements, products, and/or services available on such third-party sites, which are governed by their own terms of use.

ValueBetFactory is also not responsible for transactions between the User and any advertiser, professional, or merchant (including Third-Party Services) to which the User may be directed via the Solution and shall in no way be a party to any disputes that may arise with these third parties concerning the purchase of products and/or services, warranties, representations, or any other obligations these third parties are subject to.

16.6 Advertising

ValueBetFactory reserves the right to insert advertisements or promotional messages on any page of the Solution and in any communication with the User, in a manner and under conditions determined solely by ValueBetFactory.

17. DISPUTE RESOLUTION

17.1. Applicable Law

The Terms and Conditions (T&Cs) are governed and interpreted in accordance with French law.

17.2. Amicable Resolution

The Parties agree to seek an amicable resolution before initiating any legal proceedings.

17.3. Competent Jurisdictions

Any dispute or controversy regarding the validity, interpretation, execution, and/or termination of the T&Cs shall be submitted to the courts under the jurisdiction of the Paris Commercial Court.
